Music Law
is the body of laws that address the music industry and the various methods that help musicians transform their dreams into a business where they can actually earn an income. The entire music industry is held together by contracts - as to who was suppose to do what, by when and how much he/she would get paid for it.  Initial deals and agreements that come up orally must be clarified and solidified in a workable contract in writing. This ensures that all parties understand what they are getting into before committing - producers, record companies, managers, talent agents, business managers and promoters. It involves laws governing music contracts, music publishing, music copyright and performing rights.

Sports Law is an amalgam of laws that apply to athletes and the sports they play. It is not a single legal topic with generally applicable principles. Sports law touches on a variety of matters, including contract, tort, agency, antitrust, constitutional, labor, trademark, and different forms of discrimination, such as sex discrimination. Some laws depend on the status of the athlete, some laws differ according to the sport, and some laws vary for other reasons. It encompasses a multitude areas of law brought together in unique ways. Issues such as antitrust, contracts, and torts are quite common. Sports Law can be roughly divided into the areas of amateur, professional, and international sports. The distinction between a professional and amateur athlete is somewhat tenuous. So-called "amateur" student/athletes at universities often receive scholarships and other forms of compensation. Also, keep in mind that even though an athlete may be defined as an amateur by one organization, he or she may not be an amateur according to another.

Intellectual Property Law consists of those laws that govern any intangible asset that that consists of human knowledge and ideas. Some examples are copyrights, trademarks, and software.  Intellectual property rights may be a business's most valuable asset in today's increasingly competitive and globalized marketplace. Trademarks, service marks, trade names, trade secrets, copyrights and trade dress must be carefully protected. Technology and intangible assets must be exploited to realize the typically untapped commercial value they represent.  Law Offices of Jay W. MacIntosh works to protect intellectual property rights, including copyrights and trademarks, and assists clients to exploit their commercial potential.

Corporate Formation involves helping the client in forming a corporation or a limited liability company, depending on what the persons or entities incorporating wish to accomplish. For example, some jurisdictions have statutes that grant liability protection to the officers and directors but these statutes need to be specifically invoked before they apply to the business entity.  However, formation of an LLC or a corporation is only the beginning of a business.  Our services are oriented toward an ongoing relationship with the client. Regarding formation of a Limited Liability Company, there is the initial consultation regarding its structure as well as other available corporate structures and alternatives; the drafting and filing of the Articles of Organization; the explaining of basic taxation as a partnership; the preparing the Operating Agreement; the obtaining of the tax identification number (SS4 - EIN Number); the preparing and filing the initial Statement of Information with the state of California; the qualification of initial issue securities with Department of Corporations (filing § 25102F Form; exemption from Security for a limited private offering); the capitalization of the company and issuance of Membership Interest Certificates; and the explanation of bank accounts for company. Regarding formation of a Corporation, there is the initial consultation regarding corporate structure, shareholders, etc.; the drafting and filing the Articles of Incorporation; the acting as Incorporator pending election of Board of Directors; the preparation of the Bylaws; the preparation of the minutes of the first meeting of shareholders, including election of Directors; the preparation of the minutes of the first meeting of the Board of Directors, including appointment of officers; the capitalization of the company, and issuance of stock and entering into ledger; the qualification of initial issue securities with Department of Corporations (filing § 25102F Form); the obtaining of the tax identification number (EIN number), the domestic stock statement, the "S” corporation #2553 election form, and concluding with an explanation that the corporation is responsible for yearly annual chores.

Contract Law consists of laws that govern all contracts in whatever area a contract is created between parties.  In law, a contract is a binding legal agreement that is enforceable in a court of law.  That is to say, a contract is an exchange of promises for the breach of which the law will provide a remedy.  Breach of contract is recognized by the law and remedies can be provided.  A contract can be in writing or can be oral.  As long as the good or service provided is legal, any oral agreement between two parties can constitute a binding legal contract.  We work in contract review, contract drafting, and contract disputes.

Bankruptcy Law involves that federally authorized procedure by which a debtor—an individual, corporation, or municipality— is relieved of total liability for its debts by making court-approved arrangements for their partial repayment.  Once considered a shameful last resort, bankruptcy in the United States is emerging as an acceptable method of resolving serious financial troubles. The goal of our bankruptcy practice is to allow the debtor to have a "fresh start," and the creditor to be repaid. Through bankruptcy Chapters 7 and 13, debtors liquidate their assets or restructure their finances to fund their debts. Bankruptcy law provides that individual debtors may keep certain exempt assets, such as a home, a car, and common household goods, thus maintaining a basic standard of living while working to repay creditors.  We primarily work with debtors who qualify for a Chapter 7 bankruptcy.
